Agreement to Terms

The Break Room (breakroom.dannemiller.com) (“The Break Room” or the “Site”) is owned and operated by Dannemiller, Inc., located in San Antonio, Texas. By accessing and using The Break Room, you agree to be bound by these Terms and Conditions (“Terms”) and all applicable laws and regulations, including the laws of the State of Texas. If you do not agree to these terms, you are prohibited from using the Site.

Dannemiller, Inc. reserves the right to modify these Terms at any time. Changes are effective immediately upon posting to the Site. Your continued use of The Break Room constitutes your acceptance of the updated Terms. Please review these Terms regularly for changes.

Permitted Use

You agree to use The Break Room for lawful purposes only and in ways that do not:

  • Violate, infringe upon, or breach any law or regulation
  • Violate the intellectual property rights or privacy rights of others
  • Transmit any unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable material
  • Disrupt the normal flow of functionality or operation within The Break Room
  • Attempt to gain unauthorized access to our systems, servers, or services
  • Harass, threaten, or cause distress or inconvenience to any person
  • Transmit obscene, sexually explicit, or offensive material
  • Engage in or promote illegal activity of any kind
  • Misrepresent your professional qualifications or credentials

Violation of these terms may result in immediate suspension or termination of your account without refund, and Dannemiller, Inc. may pursue legal action.

Intellectual Property Rights

The Break Room, including all text, graphics, images, logos, product descriptions, software, and other materials, is the property of Dannemiller, Inc. or its content providers and is protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to view and use The Break Room for personal, professional, non-commercial purposes only. You may not:

  • Copy, reproduce, modify, or distribute any website content without express written permission from Dannemiller, Inc.
  • Remove or alter copyright, trademark, or other proprietary notices
  • Use website content for commercial purposes or resale
  • Reverse engineer, decompile, or disassemble any software or technology
  • Transmit any website content to other websites or computer networks without authorization
  • Download or print large portions of the website for unauthorized distribution or reproduction
  • Use content in violation of intellectual property rights

Title, copyright, intellectual property rights, and distribution rights remain exclusively with Dannemiller, Inc. Intellectual property rights include the look, feel, design, and all creative elements of The Break Room.

Product Information and Descriptions

The Break Room makes reasonable efforts to provide accurate product descriptions, pricing, availability, and other information. However, we do not warrant that product descriptions, pricing, specifications, or other content is accurate, complete, current, or error-free.

All product images are provided for illustrative purposes only. Actual products may vary slightly in appearance, color, packaging, or specifications. Dannemiller, Inc. reserves the right to correct errors, omissions, or misstatements in product information at any time.

Products sold through The Break Room do not provide continuing medical education (CME) credit unless expressly stated otherwise.

Products are provided and offered “as is” and “as available” without express or implied warranty of any kind.

Pricing and Availability

All prices are current at the time of posting and are subject to change without notice. Pricing and product availability are confirmed only at the time of order placement and payment. Dannemiller, Inc. reserves the right to:

  • Limit quantities available for purchase
  • Refuse or cancel orders
  • Discontinue products at any time
  • Correct pricing errors or omissions
  • Update pricing based on market conditions

Prices do not include applicable taxes or shipping costs, which will be calculated and displayed before order completion.

Payment and Order Processing

Payment for orders must be received before shipment. We accept payment through Authorize.Net and major credit cards (Visa, Mastercard, American Express, Discover). By submitting payment information, you authorize us to charge your payment method for the full order amount, including shipping and applicable taxes.

All payment information is transmitted via secure, encrypted channels and processed through PCI DSS compliant payment processors. We do not store complete credit card numbers.

You are responsible for ensuring that all billing information you provide is accurate, current, and truthful. If a payment fails, is declined, or cannot be processed, your order will not be processed, and we may attempt to contact you by the contact information provided.

Payment processing is subject to verification and fraud detection protocols. Orders may be delayed or cancelled if fraud is suspected.

Order Cancellation

Orders may be cancelled only if requested prior to shipment. Once an order has been shipped, it cannot be cancelled. To request order cancellation, contact our support team immediately through the contact form on the Site within two (2) business days of order placement.

If your cancellation request is approved before shipment, a full refund will be issued to your original payment method within five (5) business days of cancellation approval.

Shipping and Delivery

Shipping costs are calculated based on destination, weight, dimensions, and delivery service selected. Shipping costs will be displayed and confirmed before order completion.

Estimated delivery times are provided for reference purposes and are not guaranteed. Dannemiller, Inc. is not responsible for delays caused by carriers, weather conditions, customs, traffic, or other factors beyond our control.

Risk of loss and title transfer to you upon shipment. You are responsible for ensuring that your shipping address is correct and complete. We are not liable for packages delivered to incorrect addresses provided by you.

International orders may be subject to customs duties, import taxes, tariffs, and local regulations. You are responsible for all applicable customs, import taxes, and any additional fees levied by your country or customs authorities.

Returns and Refunds

Return Eligibility Window: Products may be returned within thirty (30) days of purchase for refund if the product meets all of the following conditions:

  • Product is unopened, unused, and in original condition
  • All original packaging, materials, and documentation are intact
  • Product shows no evidence of use or damage
  • Return is requested within thirty (30) days of original purchase date

Non-Returnable Items: The following items are non-returnable and final sale (no refunds): digital products, e-books, downloadable materials, opened or unsealed products, used products, products showing evidence of use, items where the protective seal has been broken, and custom or special-order items.

Return Process: To request a return, contact our support team with your order number and reason for return. Upon approval, we will provide return shipping instructions and address. Return shipping is the responsibility of the customer unless the return is due to our error or a defective product.

After we receive and inspect the returned item, we will process your refund within seven to ten (7-10) business days. Refunds will be issued to the original payment method used for purchase.

Restocking Fee: A restocking fee of up to fifteen percent (15%) of the product purchase price may be applied to returned items. Restocking fees will be deducted from your refund.

Refund Processing Time: After receipt and inspection of the returned product, refunds will be processed within seven to ten (7-10) business days, though your financial institution may require additional time (up to forty-five [45] days) to post the refund.

Defective or Damaged Products: If you receive a defective or damaged product, you must contact our support team within ten (10) days of delivery with a detailed description and photos of the damage or defect. Upon verification, we will provide replacement or full refund at no cost to you, including return shipping.

Product Warranties and Disclaimers

Disclaimer of Warranties: To the extent permitted by law, The Break Room and all products and materials are provided “as is” and “as available” without any representations or warranties, express or implied, of any kind, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy.

Dannemiller, Inc. does not warrant that products will be suitable for your specific needs, professional setting, clinical application, or educational objectives.

No Endorsement: Dannemiller, Inc. does not endorse, recommend, or warrant any specific medical tests, treatments, products, procedures, information, or materials referenced in or contained within any products sold through this store.

Texas Consumer Notice: Dannemiller, Inc. acknowledges that nothing in these Terms limits your rights as a consumer under the Texas Deceptive Trade Practices Act (DTPA) or other applicable Texas consumer protection laws. You retain all rights afforded to you under Texas law, including the right to pursue claims for damages, attorney’s fees, and other remedies as provided by law.

Limitation of Liability

Assumption of Risk: Your use and browsing of The Break Room is at your own risk. If you are dissatisfied with any products, materials, or these Terms, your sole and exclusive remedy is to discontinue accessing and using The Break Room.

Limitation: To the fullest extent permitted by law, neither Dannemiller, Inc. nor its officers, directors, employees, agents, third-party content creators, or suppliers shall be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business opportunity, loss of data, or loss of goodwill arising from:

  • Your use or inability to use The Break Room
  • Products purchased or downloaded through The Break Room
  • Any errors, omissions, or inaccuracies in website content or product information
  • Unauthorized access to or loss of personal data or information
  • Any interruption, cessation, or malfunction of service
  • Any action taken in reliance upon information obtained from The Break Room
  • Any defects in products or materials
  • Any decisions, actions, or outcomes arising from a user’s interpretation, reliance upon, or use of information or products obtained through The Break Room, consistent with the Medical Disclaimer.

Nothing in this section is intended to waive or limit any non-waivable rights available to consumers under applicable Texas law. This limitation applies even if Dannemiller, Inc. has been advised of the possibility of such damages and even if a remedy fails of its essential purpose.

Liability Cap: In no event shall Dannemiller, Inc.’s total cumulative liability exceed the original purchase price of the product that is the subject of the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Dannemiller, Inc., its officers, directors, employees, agents, third-party content creators, and suppliers from and against any and all claims, damages, losses, costs, and expenses, including reasonable attorney’s fees, arising from or related to:

  • Your use of The Break Room
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any intellectual property or other rights of third parties
  • Your misrepresentation of professional qualifications
  • Your unauthorized sharing or distribution of products

Third-Party Links and Content

The Break Room may contain links to third-party websites and resources. We are not responsible for the availability, accuracy, completeness, reliability, or content of external websites. Links are provided for convenience only and do not constitute endorsement of the linked site or its content.

Use of third-party sites is at your own risk and subject to their terms and conditions. Dannemiller, Inc. makes no warranty regarding any linked websites or any information, materials, or products appearing thereon.

Any opinions, statements, services, offers, or other content expressed by third parties are those of the respective authors or providers and not of Dannemiller, Inc.

Suspension or Termination

Dannemiller, Inc. may suspend or terminate your account and access to The Break Room at any time, with or without cause and with or without notice, if we believe you have:

  • Violated these Terms
  • Violated any applicable law or regulation
  • Misrepresented your professional qualifications
  • Shared or distributed products to non-qualified individuals
  • Engaged in fraudulent or abusive conduct
  • Posed a risk to The Break Room or other users

Upon termination or suspension:

  • Your right to use The Break Room immediately ceases
  • You remain liable for any outstanding obligations or charges
  • All provisions regarding limitation of liability, indemnification, and governing law survive termination
  • No refunds will be provided for suspension or termination due to violation of Terms

Dispute Resolution and Governing Law

Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

Jurisdiction: You agree that any legal action, proceeding, or claim shall be brought exclusively in the state or federal courts located in Bexar County, Texas. You consent to the jurisdiction and venue of these courts and waive any objections based on forum non conveniens or any other basis.

Statute of Limitations: Any cause of action you may have with respect to your use of The Break Room must be commenced within two (2) years after the claim or cause of action arises, or it will be forever barred. This provision does not limit your rights under the Texas Deceptive Trade Practices Act or other applicable Texas consumer protection laws.

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be severable, and the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Entire Agreement

These Terms and Conditions, together with the Privacy Policy and Medical Disclaimer posted on The Break Room, constitute the entire agreement between you and Dannemiller, Inc. regarding your use of the Site and all related services and products. These Terms supersede all prior agreements, understandings, negotiations, and discussions, whether written or oral.

If there is any conflict between these Terms and any other policy or document posted on The Break Room, these Terms control unless otherwise expressly stated.
